1. Agreement and scope

By using this website or engaging Lumeen (ABN 20 289 658 598, "we", "us", "our") to design, build, migrate, host or maintain your website, or to add integrations, automation or AI to it, you agree to these Terms and Conditions.

These terms, together with any proposal or scope of work we agree with you in writing, govern our relationship. If a signed proposal says something different, the proposal applies for that project.

2. Payment, fees and cancellation

• Foundation (one-off builds). A 50% deposit is due before design work begins. The remaining 50% is due when the site is complete, before it goes live.
• Agentic Core (monthly). Invoiced monthly in advance and charged on your monthly cycle. It is month to month: you can cancel at any time, and cancellation takes effect at the end of the month you have paid for.
• Unpaid invoices. If a monthly invoice is unpaid for more than 14 days, we may pause support and hosting until it is paid. We will tell you before we do.
• Free homepage preview. If we build a homepage preview for you at no cost, there is no obligation. If you decide not to go ahead, you owe nothing.

3. Ownership

Once the project balance is paid, you own what we build for you: the frontend, backend, database, code repository, designs, content and the accounts they run on. Those accounts are set up in your name.

We keep ownership of our general know-how, and of tools and code we created before your project or use across many projects. Where any of that is included in your site, you receive a permanent, royalty-free licence to use, change and keep it, including if you stop working with us.

If you leave Agentic Core, we hand over everything we host or maintain for you, so you can move it or run it yourself.

4. Consumer guarantees and liability

Our services come with guarantees that cannot be excluded under the Competition and Consumer Act 2010 (Cth), including the Australian Consumer Law. Subject to those guarantees:

• We do not guarantee search rankings, traffic, enquiries or sales. Search engines and AI assistants change how they rank and cite sites, and we do not control them.
• We are not responsible for outages, data loss, security incidents or policy changes caused by third parties we do not control, such as hosting platforms, domain registrars, email providers or AI providers.

5. Governing law

These terms are governed by the laws of New South Wales, Australia. You and we submit to the exclusive jurisdiction of the courts of New South Wales for any dispute under them.
